1. PRODUCTION
- Hydroemission Corporation Pte Ltd (hereinafter Hydroemission) shall manufacture and package the Products in accordance with the specifications as mutually agreed upon between the parties as set out in the PFA Form and Product Specifications Forms.
- Hydroemission shall package the manufactured Products either in standard individual packaging and/or in bulk packaging, as may be required by the customer. The costs of packaging, including the costs of materials used, shall be borne by Hydroemission. The customer may request non-standard packaging and/or printing on packaging materials, subject to availability and payment of additional charges and/or cost of production.
- Hydroemission shall only commence the manufacture of the Products upon receipt of confirmation of the customer's acceptance of the Product's sample in writing and the customer's purchase order.
- The customer may from time to time change the specifications of the Products and/or the specifications of the Packaging, subject to the payment of any additional charges and/or costs of production.
2. PRICING AND PAYMENT FOR THE PRODUCTS
- The price for the Products shall be agreed between the parties and stated in the purchase order to be submitted by the customer. Prices exclude any applicable Goods and Services Tax or value added tax or any other sales tax or excise duties payable by the customer.
- Unless otherwise agreed by the Hydroemission, the price for the Products shall be paid by the customer on delivery of goods with corporate cheque, or in advance by bank telegraphic transfer, or by way of an irrevocable letter of credit at sight. For bank telegraphic transfer, payment shall be processed at least 3 working days before delivery date of goods. For payment by L/C, all payments shall be made by the Principal in Singapore Dollars by way of an irrevocable letter of credit at sight issued by a first class bank acceptable to Hydroemission, covering 100% of the invoice value against the presentation of a commercial invoice and a clean on board bill of lading for the shipment. The customer shall open the irrevocable letter of credit within 3 working days of placing an order with Hydroemission. In the event of non-payment by the customer, Hydroemission shall be entitled to withhold delivery until payment. No other discounts or commissions shall be due to the customer unless expressly agreed in writing by Hydroemission.
- In the event that any payment is overdue, Hydroemission may suspend their processing of any outstanding orders until receipt of the overdue payment.
- In the event of legal action taken by Hydroemission against the customer for breach of payment obligations or any other terms, the customer accepts that they shall be liable for all costs and disbursements incurred by Hydroemission on an indemnity basis.
3. ORDERS, DELIVERIES AND RETURNS
- All orders by the customer shall be placed in writing and subject to acceptance by Hydroemission at 65A, Jalan Tenteram, #05-04, St. Michael's Industrial Estate, Singapore 328958.
- Each purchase order shall state clearly the quantity of the Products, the unit and total price, the expected date and manner of delivery, terms and conditions, the manner of packaging and changes to be made to the specifications and/or packaging, if any.
- Hydroemission shall use all reasonable endeavours to meet the delivery date and shall inform the customer immediately of any unforeseen circumstances that is likely to cause delay in delivery.
- The customer shall, at its own costs, make all necessary arrangements for the shipment of active ingredients to the Hydroemission's premises and collection of the finished Products at the Hydroemission's premises or such other place as may be notified by Hydroemission, and the shipment of the said finished Products.
- The customer shall upon receipt of the delivered Products examine the Products for defects and completeness. No claim for damage in transit, for shortage in delivery or for loss of goods shall be entertained unless informed to Hydroemission in writing within 3 working days from the date of receipt of the finished Products endorsed by the customer on Hydroemission's delivery order.
- In the event of any Products found to be defective upon receipt by the customer, such defects are to be notified in writing by the customer to Hydroemission within 7 working days of receipt of the Products, and upon verification by Hydroemission that the defects are inherent or attributable to the manufacturing and/or packaging process, Hydroemission shall replace such defective Products at its costs.
- Hydroemission's liability for damage, non-delivery and/or defects of the Products shall in any event be limited to replacement of the Products within a reasonable time (or, at Hydroemission's option, refunding of the price thereof) whether or not the damage, non-delivery or defects is due to Hydroemission's negligence.
- Hydroemission shall not in any circumstances be liable, whether in contract or tort, to the customer for any indirect or consequential loss or damage (including, without limitation, loss of profits, loss of contracts or damage to property) or for any claim against the customer by any third party.
- The customer warrants and undertakes that the Products, specifications and the application of the Products do not infringe the intellectual property rights, including but without limitation patents rights, trade marks and/or copyrights, of any third parties. The customer shall indemnify Hydroemission for all losses, damages and costs incurred by Hydroemission in the event of any claim by or in any proceedings with any third party for the infringement of the third party's intellectual property arising from or in connection with the manufacture of the Products or the customer's application of the Products in whatsoever manner.
4. INTELLECTUAL PROPERTY
- The customer shall not cause or permit or do anything which may damage or endanger the Intellectual Property rights of Hydroemission including but without limitation Hydroemission's trademarks, patents, copyright, technical know-how and designs, or Hydroemission's title to its intellectual property or assist or allow others to do so.
- The customer shall not or permit others to engage in any form of reverse engineering of the Products.
